营口国合汇邦房地产开发有限公司 合同文件一、合同协议书发包方:营口国合汇邦房地产开发有限公司(以下称甲方)承包方:营口第一建筑工程有限公司(以下称乙方)依照《中华人民共和国合同法》及其他有关法律、法规和规章,遵循平等、自愿、公平和诚实信用的原则,双方就营口枫合万嘉项目桩基础工程有关事项协商达成一致,订立本合同,具体内容如下:一、工程概况1.工程名称:营口枫合万嘉项目桩基础工程(以下简称“本工程”)。2.工程地点:原营口天力电机厂地块(营口市光华路东,渤海大街南,美景华府小区北,新宇小区西),项目甲方指定施工现场。3.工程内容及承包范围:营口枫合万嘉项目桩基础工程,包括定位、放线,并与主体单位交验、技术档案的整理、材料试验及及与检测单位的配合。(桩的静载试验及动测检验由甲方另行委托,不包含在本承包范围内)凡甲方提供招标图纸载明的、隐含的或按照施工惯例应当属于乙方的工作均属于本合同的承包范围。4.承包方式:本工程由乙方以包工、包料、包机械、包工期、包质量、包安全及文明施工、包工完场清、包建工保险、包工具用具、包试验及监测费用、包各种管理费、包税金、包办理政府行政主管部门的各项法定应由乙方办理的手续并交纳各种费用等的方式承包。综合单价固定,本合同下的工程总价最终按经甲方确认的乙方实际完成的工程量据实结算。二、工期及工程质量要求1.工期要求:开工日期:2011年5月11日竣工日期:2010年6月25日总工期为45个日历天,前述工期包含法定节假日、交叉施工、sectionoftheDepartmentofprojectmanagement;Projectdocumentsandinformation:ProjectEngineeringDepartment;Materialsandequipment:materialsupplyprojects;Securitycontrols:theprojectDepartmentofsafetyandsecurity;Constructionmachinery:ProjectEngineeringDepartment;Financial:ProjectManagementDepartmentoffinance;Securityandfireservices:projectsecurity.3.3.5managementrepresentativeandprojectmanagerinthisitemspecifiesthattheChiefEngineeristhemanagementrepresentative,responsiblefortheoperationofqualitymanagementsystemandsupervision,regardlessofhowhisotherresponsibilities,shouldhaveaclearmandateto:ensurethatthequalitymanagementsystemisimplementedandmaintained;Therunningofthequalitymanagementsystemtotheprojectmanager,includingneededimprovements;Alwaysbeawarethatthecustomer"sneedsandrequirements.3.43.4.1projectmanagementreviewshouldbeanannualreviewofitsqualitymanagementsystemtoensureitscontinuingsuitability,adequacyandeffectiveness.3.4.2Administrationreviewbytheprojectmanagerresponsiblefororganizationandimplementation,projectqualitycontrolDepartmentisresponsibleforspecifictasks.3.4.3themanagementreviewshouldcompareandevaluatethefollowinginput:internalandexternalqualityauditsandcorrectiveeffect;Customerfeedbackontheconstruction,installation,commissioning,serviceinformation(complaintsandsatisfaction);Qualityrecords,qualitycompliancewithtrendreports,analysisofresults;Combinedwiththequalitypolicyandtheachievementofthegoals,statusandsuitabilityevaluationofthequalitymanagementsystemtodeterminecorrective,preventiveandimprovementmeasuresofperformance.3.4.4evaluationmethodandprocedure(1)review:bytheprojectmanager,projectmanager,functionaldepartmentsandheadsofspecialized
营口国合汇邦房地产开发有限公司 合同文件配合施工的等待时间。甲方有权根据实际情况调整开工时间,竣工时间相应顺延,具体以甲方书面通知为准,乙方应按甲方要求执行,并不得据此向甲方主张额外费用。除双方明确约定可以顺延工期的情况外,乙方承诺工期若遇地下障碍物、下雨、下雪、停电、停水等不可预见因素及其他任何非约定原因造成工程不能按合同工期履行或竣工的,均不调整工期,乙方承担违约责任。2.工程质量:符合国家、辽宁省及营口市相关施工规范及验收标准,以及本合同约定的相关要求,一次性验收合格。前述标准如有不一致的,以标准较高的执行。三、下列文件应作为本协议书的组成部分:1.合同协议书2.中标函3.合同条款4.招标文件5.规范要求6.图纸7.投标函及投标函附件8.工程量清单表和构成合同组成部分的其他文件双方有关工程的洽商、变更等书面协议或文件视为本合同组成部分,并最优先适用。上述文件应互为补充和解释,如有不清或互相矛盾之处,以甲方发出的指示进行解释,解释以上面所列顺序在前的为准。四.合同价款、付款方式1、合同价款:本工程合同总价暂定为人民币大写:壹仟贰佰捌拾叁万陆仟肆佰元整。(小写:¥12836400.00元)。实际结算依据本合同附件所列综合单价明细表及经甲方确认的乙方实际完成的工程量据实结算。本工程执行综合单价结算方式,综合单价暂定值见合同附件1《综合单价明细表》,其中综合单价中材料费(管桩)以甲方根据实际情况下发的限价单中的价格和范围进行调整,其他费用包死不变,即,施工前甲方根据市场管桩材料的价格给乙方限定价格和数量,结算额=实际综合单价×sectionoftheDepartmentofprojectmanagement;Projectdocumentsandinformation:ProjectEngineeringDepartment;Materialsandequipment:materialsupplyprojects;Securitycontrols:theprojectDepartmentofsafetyandsecurity;Constructionmachinery:ProjectEngineeringDepartment;Financial:ProjectManagementDepartmentoffinance;Securityandfireservices:projectsecurity.3.3.5managementrepresentativeandprojectmanagerinthisitemspecifiesthattheChiefEngineeristhemanagementrepresentative,responsiblefortheoperationofqualitymanagementsystemandsupervision,regardlessofhowhisotherresponsibilities,shouldhaveaclearmandateto:ensurethatthequalitymanagementsystemisimplementedandmaintained;Therunningofthequalitymanagementsystemtotheprojectmanager,includingneededimprovements;Alwaysbeawarethatthecustomer"sneedsandrequirements.3.43.4.1projectmanagementreviewshouldbeanannualreviewofitsqualitymanagementsystemtoensureitscontinuingsuitability,adequacyandeffectiveness.3.4.2Administrationreviewbytheprojectmanagerresponsiblefororganizationandimplementation,projectqualitycontrolDepartmentisresponsibleforspecifictasks.3.4.3themanagementreviewshouldcompareandevaluatethefollowinginput:internalandexternalqualityauditsandcorrectiveeffect;Customerfeedbackontheconstruction,installation,commissioning,serviceinformation(complaintsandsatisfaction);Qualityrecords,qualitycompliancewithtrendreports,analysisofresults;Combinedwiththequalitypolicyandtheachievementofthegoals,statusandsuitabilityevaluationofthequalitymanagementsystemtodeterminecorrective,preventiveandimprovementmeasuresofperformance.3.4.4evaluationmethodandprocedure(1)review:bytheprojectmanager,projectmanager,functionaldepartmentsandheadsofspecialized
营口国合汇邦房地产开发有限公司 合同文件经甲方确认的对应实际完成工作量。除试验桩外,其他桩施工后超出设计标高1m以内(含1m)的,按实计取工程量,超出1m以上的,不予计取工程量。本合同综合单价中材料费(管桩)以外部分一次性包死,固定不变,不再因市场价格涨落、履行期调整等任何因素而在结算时予以调整。本合同综合单价已充分考虑了为完成本工程应包括的全部项目及风险,综合单价中应包括人工、材料、配件、临时仓储和保管费、运输、安装、机械、施工技术、成品保护、材料损耗、材料复试、调试、验收、维修、管理、垃圾排放及清理、接桩、截桩、送桩等,各种气候条件、保险、利润、水电费、税金、保险及办理相关手续等乙方完成本合同约定工程并经甲方及政府相关主管部门验收合格所发生的全部费用和招标文件及合同条件明示和隐含的一切风险费用(排污费由甲方缴纳,本合同不包含),除本合同另有约定外,甲方无须再向乙方支付任何费用。风险范围包括但不限于:(1)人工、材料、机械费等变化引起风险;(2)甲方提供的地质资料可能与实际情况不符而导致的乙方工程费用的增加;(3)甲方不能保证提供给乙方的相关资料的准确性及完整性,乙方应到工地踏勘以充分了解工地位置、地形地貌、周边环境、道路、地下管网、储存空间、装卸限制及其它任何足以影响投标设计和报价的情况,任何因忽视或误解工地情况而导致的费用索赔或工期延长申请不获批准。2、付款方式:(1)工程预付款:合同签订,且桩基设备进场并经甲方确认后,支付合同暂定总价款的40%作为预付款;(2)工程进度款:乙方完成本合同项下工程量的50%,乙方向甲方提交已完工程量报告、当期工程技术资料及请款报告,经甲方审核无误后,支付至合同暂定总价款的75%;本合同项下工程全部完成并经甲方及有关部门检测及验收合格,乙方提交完整的工程档案、技术资料及结算报告,双方进行结算,本工程结算完成且结算值经甲方确认后10日内支付至结算总价款的95%。余下工程结算款作为保修金待总包单位工程竣工(指整个项目完成并经营口市质量监督站验收且档案资料验收合格)后无息结清。(3)sectionoftheDepartmentofprojectmanagement;Projectdocumentsandinformation:ProjectEngineeringDepartment;Materialsandequipment:materialsupplyprojects;Securitycontrols:theprojectDepartmentofsafetyandsecurity;Constructionmachinery:ProjectEngineeringDepartment;Financial:ProjectManagementDepartmentoffinance;Securityandfireservices:projectsecurity.3.3.5managementrepresentativeandprojectmanagerinthisitemspecifiesthattheChiefEngineeristhemanagementrepresentative,responsiblefortheoperationofqualitymanagementsystemandsupervision,regardlessofhowhisotherresponsibilities,shouldhaveaclearmandateto:ensurethatthequalitymanagementsystemisimplementedandmaintained;Therunningofthequalitymanagementsystemtotheprojectmanager,includingneededimprovements;Alwaysbeawarethatthecustomer"sneedsandrequirements.3.43.4.1projectmanagementreviewshouldbeanannualreviewofitsqualitymanagementsystemtoensureitscontinuingsuitability,adequacyandeffectiveness.3.4.2Administrationreviewbytheprojectmanagerresponsiblefororganizationandimplementation,projectqualitycontrolDepartmentisresponsibleforspecifictasks.3.4.3themanagementreviewshouldcompareandevaluatethefollowinginput:internalandexternalqualityauditsandcorrectiveeffect;Customerfeedbackontheconstruction,installation,commissioning,serviceinformation(complaintsandsatisfaction);Qualityrecords,qualitycompliancewithtrendreports,analysisofresults;Combinedwiththequalitypolicyandtheachievementofthegoals,statusandsuitabilityevaluationofthequalitymanagementsystemtodeterminecorrective,preventiveandimprovementmeasuresofperformance.3.4.4evaluationmethodandprocedure(1)review:bytheprojectmanager,projectmanager,functionaldepartmentsandheadsofspecialized

营口国合汇邦房地产开发有限公司 合同文件(7)提供水电接驳点。3.乙方工作(1)乙方现场代表代表乙方行使合同约定的权力,履行合同条款,按甲方及总承包商的要求及时报送各类经济技术资料,文明安全施工,全权处理该工程的一切事宜。(2)乙方已认真考察了施工现场并充分了解了工地位置、周边情况、土质、地质状况、道路、储存空间、作业空间狭窄、起卸限制及任何其它足以影响工期、承包价款之情况,已充分认识到各种不利因素。乙方理解工地上会有其他承包单位作业,不会独占工作面和工作空间及施工现场,理解可能会与周围企业单位或个体发生的矛盾,理解交叉施工、施工等待对工期、价款的影响,理解政府管理部门对施工作业方式和时间可能的影响或限制。乙方确认本合同所约定的工期、工程价款或结算依据的标准,已包括上述因素等对工期、价款等的影响。前述因素不予延长工期,不予增加费用。乙方保证在约定工期内将符合本合同约定并具备国家规定交付使用条件的本工程竣工交付甲方。(3)开工前,乙方必须依据营口市有关规定和要求报批所有应由施工单位办理的手续、交纳相关费用。如有疏忽,一切经济和工期上的损失、造成的罚款等均由乙方负责。办理排渣、排水、环境卫生污染、粉尘噪音污染等手续及交纳费用或罚款均由乙方负责。(4)乙方必须按甲方确认的进度计划组织施工,接受对进度的检查监督。(5)乙方服从甲方及总承包商的现场安排,按甲方的质量要求和图纸要求施工,并服从施工监理以及甲方、总承包商的要求。(6)乙方承担施工过程中对现有周边建筑物、构筑物、交通道路以及甲方告知的地下管线造成的破坏影响等发生的费用,并给予及时处理,甲方帮助协调。(7)乙方应按合同约定的权力,履行合同条款,按甲方要求及时报送各类经济技术资料,文明安全施工。乙方必须服从甲方及总承包商的管理及安排,并与其它专业施工方密切配合,不得互相推诿,否则甲方有权终止合同,一切损失由指定分包商负责。(8)乙方必须确保施工现场文明,达到市级文明施工现场要求。sectionoftheDepartmentofprojectmanagement;Projectdocumentsandinformation:ProjectEngineeringDepartment;Materialsandequipment:materialsupplyprojects;Securitycontrols:theprojectDepartmentofsafetyandsecurity;Constructionmachinery:ProjectEngineeringDepartment;Financial:ProjectManagementDepartmentoffinance;Securityandfireservices:projectsecurity.3.3.5managementrepresentativeandprojectmanagerinthisitemspecifiesthattheChiefEngineeristhemanagementrepresentative,responsiblefortheoperationofqualitymanagementsystemandsupervision,regardlessofhowhisotherresponsibilities,shouldhaveaclearmandateto:ensurethatthequalitymanagementsystemisimplementedandmaintained;Therunningofthequalitymanagementsystemtotheprojectmanager,includingneededimprovements;Alwaysbeawarethatthecustomer"sneedsandrequirements.3.43.4.1projectmanagementreviewshouldbeanannualreviewofitsqualitymanagementsystemtoensureitscontinuingsuitability,adequacyandeffectiveness.3.4.2Administrationreviewbytheprojectmanagerresponsiblefororganizationandimplementation,projectqualitycontrolDepartmentisresponsibleforspecifictasks.3.4.3themanagementreviewshouldcompareandevaluatethefollowinginput:internalandexternalqualityauditsandcorrectiveeffect;Customerfeedbackontheconstruction,installation,commissioning,serviceinformation(complaintsandsatisfaction);Qualityrecords,qualitycompliancewithtrendreports,analysisofresults;Combinedwiththequalitypolicyandtheachievementofthegoals,statusandsuitabilityevaluationofthequalitymanagementsystemtodeterminecorrective,preventiveandimprovementmeasuresofperformance.3.4.4evaluationmethodandprocedure(1)review:bytheprojectmanager,projectmanager,functionaldepartmentsandheadsofspecialized

营口国合汇邦房地产开发有限公司 合同文件3、在国家规定的工程合理使用期限内,乙方确保地基基础工程和主体结构的质量因乙方原因致使工程合理期限内造成人身和财产损害的,乙方应承担损害赔偿责任。四、工程质量缺陷保修费用工程质量缺陷保修费用及相关损害责任由造成质量缺陷的责任方承担。五、工程质量缺陷保修金甲方乙方约定本工程的工程质量保修金为工程结算值的5%,具体为:金额(大写):____________________________元(小写):____________________________元六、工程质量缺陷保修金的支付剩余保修金(扣除保修期内乙方应承担的修复费用、赔偿金及其他款项金额)待总包单位工程竣工(指整个项目完成并经营口市质量监督站验收且档案资料验收合格)后无息结清;无息退还予乙方。七、其他甲方乙方约定的其他工程质量缺陷保修事项:1、通知方式在报修人报告维修后,甲方应当向乙方发出保修通知。甲方可通过电话方式发出保修通知,如乙方拒绝进行维修,甲方可通过录音方式取得通知证据。甲方也可以采用传真、信函或邮政快件等方式发出保修通知,如乙方收到上述函件未在甲方告知的期限内回复或保修的,视为拒绝维修,构成违约。2、保修维修记录乙方接到甲方的保修通知后,应当在质量保修书中约定的时间内到达现场,核查情况,并在质量保修书中约定的时间内予以保修。发生设计结构安全或者严重影响使用功能的紧急抢修事故,乙方接到报修通知后,应当立即到达现场抢修。发生涉及结构安全的质量缺陷,由原设计单位或者具有相应资质等级的设计单位提出保修方案,乙方实施保修,原工程质量监督机构负责监督。乙方到达现场履行保修义务,应当同甲方、报修人共同签写《报修维修记录》,填写维修内容、维修方案、维修结果及报修人意见等。乙方应将此《报修维修记录》交由甲方存档备案。3、维修方案乙方的维修方案、工艺应当科学、合理,并以根本性维修为目的,甲方认为乙方的维修方案属于仅满足保修期内使用要求的临时措施,不满足工程合理使用年限内正常使用的长远要求,有权委托具备资格的设计单位或专业工程施工企业另行设计维修方案及实施维修。4、保修期计算乙方维修过的工程项目,该维修工程的质量保修期限自维修完工之日重新计算;连续维修的,从最后一次维修完工之日起重新计算。sectionoftheDepartmentofprojectmanagement;Projectdocumentsandinformation:ProjectEngineeringDepartment;Materialsandequipment:materialsupplyprojects;Securitycontrols:theprojectDepartmentofsafetyandsecurity;Constructionmachinery:ProjectEngineeringDepartment;Financial:ProjectManagementDepartmentoffinance;Securityandfireservices:projectsecurity.3.3.5managementrepresentativeandprojectmanagerinthisitemspecifiesthattheChiefEngineeristhemanagementrepresentative,responsiblefortheoperationofqualitymanagementsystemandsupervision,regardlessofhowhisotherresponsibilities,shouldhaveaclearmandateto:ensurethatthequalitymanagementsystemisimplementedandmaintained;Therunningofthequalitymanagementsystemtotheprojectmanager,includingneededimprovements;Alwaysbeawarethatthecustomer"sneedsandrequirements.3.43.4.1projectmanagementreviewshouldbeanannualreviewofitsqualitymanagementsystemtoensureitscontinuingsuitability,adequacyandeffectiveness.3.4.2Administrationreviewbytheprojectmanagerresponsiblefororganizationandimplementation,projectqualitycontrolDepartmentisresponsibleforspecifictasks.3.4.3themanagementreviewshouldcompareandevaluatethefollowinginput:internalandexternalqualityauditsandcorrectiveeffect;Customerfeedbackontheconstruction,installation,commissioning,serviceinformation(complaintsandsatisfaction);Qualityrecords,qualitycompliancewithtrendreports,analysisofresults;Combinedwiththequalitypolicyandtheachievementofthegoals,statusandsuitabilityevaluationofthequalitymanagementsystemtodeterminecorrective,preventiveandimprovementmeasuresofperformance.3.4.4evaluationmethodandprocedure(1)review:bytheprojectmanager,projectmanager,functionaldepartmentsandheadsofspecialized
