营口国合汇邦房地产开发有限公司　合同文件一、合同协议书发包方：营口国合汇邦房地产开发有限公司（以下称甲方）承包方：营口第一建筑工程有限公司（以下称乙方）依照《中华人民共和国合同法》及其他有关法律、法规和规章，遵循平等、自愿、公平和诚实信用的原则，双方就营口枫合万嘉项目桩基础工程有关事项协商达成一致，订立本合同，具体内容如下：一、工程概况1.工程名称：营口枫合万嘉项目桩基础工程（以下简称“本工程”）。2.工程地点：原营口天力电机厂地块（营口市光华路东，渤海大街南，美景华府小区北，新宇小区西），项目甲方指定施工现场。3.工程内容及承包范围：营口枫合万嘉项目桩基础工程，包括定位、放线，并与主体单位交验、技术档案的整理、材料试验及及与检测单位的配合。（桩的静载试验及动测检验由甲方另行委托，不包含在本承包范围内）凡甲方提供招标图纸载明的、隐含的或按照施工惯例应当属于乙方的工作均属于本合同的承包范围。4.承包方式：本工程由乙方以包工、包料、包机械、包工期、包质量、包安全及文明施工、包工完场清、包建工保险、包工具用具、包试验及监测费用、包各种管理费、包税金、包办理政府行政主管部门的各项法定应由乙方办理的手续并交纳各种费用等的方式承包。综合单价固定，本合同下的工程总价最终按经甲方确认的乙方实际完成的工程量据实结算。二、工期及工程质量要求1.工期要求：开工日期：2011年5月11日竣工日期：2010年6月25日总工期为45个日历天，前述工期包含法定节假日、交叉施工、sectionoftheDepartmentofprojectmanagement;Projectdocumentsandinformation:ProjectEngineeringDepartment;Materialsandequipment:materialsupplyprojects;Securitycontrols:theprojectDepartmentofsafetyandsecurity;Constructionmachinery:ProjectEngineeringDepartment;Financial:ProjectManagementDepartmentoffinance;Securityandfireservices:projectsecurity.3.3.5managementrepresentativeandprojectmanagerinthisitemspecifiesthattheChiefEngineeristhemanagementrepresentative,responsiblefortheoperationofqualitymanagementsystemandsupervision,regardlessofhowhisotherresponsibilities,shouldhaveaclearmandateto:ensurethatthequalitymanagementsystemisimplementedandmaintained;Therunningofthequalitymanagementsystemtotheprojectmanager,includingneededimprovements;Alwaysbeawarethatthecustomer"sneedsandrequirements.3.43.4.1projectmanagementreviewshouldbeanannualreviewofitsqualitymanagementsystemtoensureitscontinuingsuitability,adequacyandeffectiveness.3.4.2Administrationreviewbytheprojectmanagerresponsiblefororganizationandimplementation,projectqualitycontrolDepartmentisresponsibleforspecifictasks.3.4.3themanagementreviewshouldcompareandevaluatethefollowinginput:internalandexternalqualityauditsandcorrectiveeffect;Customerfeedbackontheconstruction,installation,commissioning,serviceinformation(complaintsandsatisfaction);Qualityrecords,qualitycompliancewithtrendreports,analysisofresults;Combinedwiththequalitypolicyandtheachievementofthegoals,statusandsuitabilityevaluationofthequalitymanagementsystemtodeterminecorrective,preventiveandimprovementmeasuresofperformance.3.4.4evaluationmethodandprocedure(1)review:bytheprojectmanager,projectmanager,functionaldepartmentsandheadsofspecialized 营口国合汇邦房地产开发有限公司　合同文件配合施工的等待时间。甲方有权根据实际情况调整开工时间，竣工时间相应顺延，具体以甲方书面通知为准，乙方应按甲方要求执行，并不得据此向甲方主张额外费用。除双方明确约定可以顺延工期的情况外，乙方承诺工期若遇地下障碍物、下雨、下雪、停电、停水等不可预见因素及其他任何非约定原因造成工程不能按合同工期履行或竣工的，均不调整工期，乙方承担违约责任。2．工程质量：符合国家、辽宁省及营口市相关施工规范及验收标准，以及本合同约定的相关要求，一次性验收合格。前述标准如有不一致的，以标准较高的执行。三、下列文件应作为本协议书的组成部分：1.合同协议书2.中标函3.合同条款4.招标文件5.规范要求6.图纸7.投标函及投标函附件8.工程量清单表和构成合同组成部分的其他文件双方有关工程的洽商、变更等书面协议或文件视为本合同组成部分，并最优先适用。上述文件应互为补充和解释，如有不清或互相矛盾之处，以甲方发出的指示进行解释，解释以上面所列顺序在前的为准。四．合同价款、付款方式1、合同价款：本工程合同总价暂定为人民币大写：壹仟贰佰捌拾叁万陆仟肆佰元整。（小写：￥12836400.00元）。实际结算依据本合同附件所列综合单价明细表及经甲方确认的乙方实际完成的工程量据实结算。本工程执行综合单价结算方式，综合单价暂定值见合同附件1《综合单价明细表》，其中综合单价中材料费（管桩）以甲方根据实际情况下发的限价单中的价格和范围进行调整，其他费用包死不变，即，施工前甲方根据市场管桩材料的价格给乙方限定价格和数量，结算额=实际综合单价×sectionoftheDepartmentofprojectmanagement;Projectdocumentsandinformation:ProjectEngineeringDepartment;Materialsandequipment:materialsupplyprojects;Securitycontrols:theprojectDepartmentofsafetyandsecurity;Constructionmachinery:ProjectEngineeringDepartment;Financial:ProjectManagementDepartmentoffinance;Securityandfireservices:projectsecurity.3.3.5managementrepresentativeandprojectmanagerinthisitemspecifiesthattheChiefEngineeristhemanagementrepresentative,responsiblefortheoperationofqualitymanagementsystemandsupervision,regardlessofhowhisotherresponsibilities,shouldhaveaclearmandateto:ensurethatthequalitymanagementsystemisimplementedandmaintained;Therunningofthequalitymanagementsystemtotheprojectmanager,includingneededimprovements;Alwaysbeawarethatthecustomer"sneedsandrequirements.3.43.4.1projectmanagementreviewshouldbeanannualreviewofitsqualitymanagementsystemtoensureitscontinuingsuitability,adequacyandeffectiveness.3.4.2Administrationreviewbytheprojectmanagerresponsiblefororganizationandimplementation,projectqualitycontrolDepartmentisresponsibleforspecifictasks.3.4.3themanagementreviewshouldcompareandevaluatethefollowinginput:internalandexternalqualityauditsandcorrectiveeffect;Customerfeedbackontheconstruction,installation,commissioning,serviceinformation(complaintsandsatisfaction);Qualityrecords,qualitycompliancewithtrendreports,analysisofresults;Combinedwiththequalitypolicyandtheachievementofthegoals,statusandsuitabilityevaluationofthequalitymanagementsystemtodeterminecorrective,preventiveandimprovementmeasuresofperformance.3.4.4evaluationmethodandprocedure(1)review:bytheprojectmanager,projectmanager,functionaldepartmentsandheadsofspecialized 营口国合汇邦房地产开发有限公司　合同文件经甲方确认的对应实际完成工作量。除试验桩外，其他桩施工后超出设计标高1m以内（含1m）的，按实计取工程量，超出1m以上的，不予计取工程量。本合同综合单价中材料费（管桩）以外部分一次性包死，固定不变，不再因市场价格涨落、履行期调整等任何因素而在结算时予以调整。本合同综合单价已充分考虑了为完成本工程应包括的全部项目及风险，综合单价中应包括人工、材料、配件、临时仓储和保管费、运输、安装、机械、施工技术、成品保护、材料损耗、材料复试、调试、验收、维修、管理、垃圾排放及清理、接桩、截桩、送桩等，各种气候条件、保险、利润、水电费、税金、保险及办理相关手续等乙方完成本合同约定工程并经甲方及政府相关主管部门验收合格所发生的全部费用和招标文件及合同条件明示和隐含的一切风险费用（排污费由甲方缴纳，本合同不包含），除本合同另有约定外，甲方无须再向乙方支付任何费用。风险范围包括但不限于：（1）人工、材料、机械费等变化引起风险；（2）甲方提供的地质资料可能与实际情况不符而导致的乙方工程费用的增加；（3）甲方不能保证提供给乙方的相关资料的准确性及完整性，乙方应到工地踏勘以充分了解工地位置、地形地貌、周边环境、道路、地下管网、储存空间、装卸限制及其它任何足以影响投标设计和报价的情况，任何因忽视或误解工地情况而导致的费用索赔或工期延长申请不获批准。2、付款方式：（1）工程预付款：合同签订,且桩基设备进场并经甲方确认后，支付合同暂定总价款的40%作为预付款；（2）工程进度款：乙方完成本合同项下工程量的50%，乙方向甲方提交已完工程量报告、当期工程技术资料及请款报告，经甲方审核无误后，支付至合同暂定总价款的75%；本合同项下工程全部完成并经甲方及有关部门检测及验收合格，乙方提交完整的工程档案、技术资料及结算报告，双方进行结算，本工程结算完成且结算值经甲方确认后10日内支付至结算总价款的95%。余下工程结算款作为保修金待总包单位工程竣工（指整个项目完成并经营口市质量监督站验收且档案资料验收合格）后无息结清。（3）sectionoftheDepartmentofprojectmanagement;Projectdocumentsandinformation:ProjectEngineeringDepartment;Materialsandequipment:materialsupplyprojects;Securitycontrols:theprojectDepartmentofsafetyandsecurity;Constructionmachinery:ProjectEngineeringDepartment;Financial:ProjectManagementDepartmentoffinance;Securityandfireservices:projectsecurity.3.3.5managementrepresentativeandprojectmanagerinthisitemspecifiesthattheChiefEngineeristhemanagementrepresentative,responsiblefortheoperationofqualitymanagementsystemandsupervision,regardlessofhowhisotherresponsibilities,shouldhaveaclearmandateto:ensurethatthequalitymanagementsystemisimplementedandmaintained;Therunningofthequalitymanagementsystemtotheprojectmanager,includingneededimprovements;Alwaysbeawarethatthecustomer"sneedsandrequirements.3.43.4.1projectmanagementreviewshouldbeanannualreviewofitsqualitymanagementsystemtoensureitscontinuingsuitability,adequacyandeffectiveness.3.4.2Administrationreviewbytheprojectmanagerresponsiblefororganizationandimplementation,projectqualitycontrolDepartmentisresponsibleforspecifictasks.3.4.3themanagementreviewshouldcompareandevaluatethefollowinginput:internalandexternalqualityauditsandcorrectiveeffect;Customerfeedbackontheconstruction,installation,commissioning,serviceinformation(complaintsandsatisfaction);Qualityrecords,qualitycompliancewithtrendreports,analysisofresults;Combinedwiththequalitypolicyandtheachievementofthegoals,statusandsuitabilityevaluationofthequalitymanagementsystemtodeterminecorrective,preventiveandimprovementmeasuresofperformance.3.4.4evaluationmethodandprocedure(1)review:bytheprojectmanager,projectmanager,functionaldepartmentsandheadsofspecialized 营口国合汇邦房地产开发有限公司　合同文件（9）乙方应对工程的质量验收一次性合格负责。如出现质量问题，施工质量达不到国家、辽宁省及营口市相关施工规范及验收标准，将处以工程总额10%的违约金并无条件返工至工程质量合格为止或由甲方另行委托第三方进行返工，费用由承保人承担，且不免除乙方因此而导致的工期延误责任。（10）乙方在施工过程中应遵守政府部门的规章制度。否则因此引起的各种罚款由乙方负责。（11）施工过程中，甲方负责提供电源、水源的接驳口，乙方应按甲方指定的接驳口自行接驳致施工作业面并负责挂表。施工用水电费由乙方承担；施工用水电费收取标准按营口市施工用水电收费标准收取费用。现场提供的最大用电负荷为800KVA，乙方需统筹安排机具设备用电负荷，因超过用电负荷引起的损失由乙方承担。生活用水、电由乙方自行解决并承担费用。（12）乙方提供竣工档案资料的约定：工程竣工后免费提供完整的竣工档案四套。（13）及时向甲方派驻的现场工程师和监理单位提供月、周工程进度计划及相应统计报表和工程事故报告。（14）乙方应遵守地方政府和有关部门对施工场地交通和施工噪音等管理规定，并办理有关手续，承担由此发生的费用。（15）乙方在施工期间，应严格遵守《建筑安装工程安全技术规程》、《建筑安装工人安全操作规程》及其它法规规范，乙方必须采取有效的安全措施，以确保进入施工现场所有人员的安全，如果出现安全事故及原材料、半成品、成品的损毁均由乙方负责。（16）已竣工工程未交付甲方验收之前，负责成品保护，保护期间发生损坏，乙方自费予以修复。由于乙方不履行上述义务，造成其他分包工程的工期延误和经济损失，责任由乙方承担。（17）施工场地内，按工程和安全需要提供和维修施工使用的照明、看守、围栏和警卫。乙方未履行上述义务造成工程、财产和人身伤害，由承保人承担责任及所发生的费用。（18）在施工过程中乙方有义务配合各交叉施工单位，若因未通知各交叉施工单位而造成返工费用由乙方承担。sectionoftheDepartmentofprojectmanagement;Projectdocumentsandinformation:ProjectEngineeringDepartment;Materialsandequipment:materialsupplyprojects;Securitycontrols:theprojectDepartmentofsafetyandsecurity;Constructionmachinery:ProjectEngineeringDepartment;Financial:ProjectManagementDepartmentoffinance;Securityandfireservices:projectsecurity.3.3.5managementrepresentativeandprojectmanagerinthisitemspecifiesthattheChiefEngineeristhemanagementrepresentative,responsiblefortheoperationofqualitymanagementsystemandsupervision,regardlessofhowhisotherresponsibilities,shouldhaveaclearmandateto:ensurethatthequalitymanagementsystemisimplementedandmaintained;Therunningofthequalitymanagementsystemtotheprojectmanager,includingneededimprovements;Alwaysbeawarethatthecustomer"sneedsandrequirements.3.43.4.1projectmanagementreviewshouldbeanannualreviewofitsqualitymanagementsystemtoensureitscontinuingsuitability,adequacyandeffectiveness.3.4.2Administrationreviewbytheprojectmanagerresponsiblefororganizationandimplementation,projectqualitycontrolDepartmentisresponsibleforspecifictasks.3.4.3themanagementreviewshouldcompareandevaluatethefollowinginput:internalandexternalqualityauditsandcorrectiveeffect;Customerfeedbackontheconstruction,installation,commissioning,serviceinformation(complaintsandsatisfaction);Qualityrecords,qualitycompliancewithtrendreports,analysisofresults;Combinedwiththequalitypolicyandtheachievementofthegoals,statusandsuitabilityevaluationofthequalitymanagementsystemtodeterminecorrective,preventiveandimprovementmeasuresofperformance.3.4.4evaluationmethodandprocedure(1)review:bytheprojectmanager,projectmanager,functionaldepartmentsandheadsofspecialized 营口国合汇邦房地产开发有限公司　合同文件（19）因乙方拖欠民工工资等原因造成劳资纠纷影响本工程形象，乙方对甲方承担50000元/次的违约金。（20）乙方现场代表与技术负责人必须参加每周由监理组织的工程例会，因故不参加的，必须提前4小时书面通知甲方，无故缺席每人每次向甲方支付违约金500元。（21）乙方以下人员，经甲方要求必须在24小时内调离本工程范围，否则每人次每天乙方向甲方支付违约金500元：指甲方确认无法胜任岗位的工作者，或不能积极配合甲方工作的管理者，或违反甲方工地现场管理规定者，或与本工程无关的人员。 （22）未经甲方书面同意，乙方不得将本工程内容擅自转包、分包及外委，否则甲方有权按照本合同约定单价的[50]%标准结算，同时甲方有权解除合同。三、施工组织设计和工期1、进度计划乙方应在合同签订并且领取正式施工图后三日内，将施工组织设计（或施工方案）和进度计划提交甲方及总承包商。乙方必须按批准的进度计划组织施工，接受甲方对进度的检查、监督。工程实际进展与进度计划不符时，乙方应按甲方的要求提出措施，甲方批准后执行。　甲方在确有必要时，可要求乙方暂停施工，并在提出要求后４８小时内提出处理意见。乙方应按甲方要求停止施工，并妥善保护已完工工程。乙方实施甲方处理意见后，可提出复工要求，甲方应在４８小时内给予答复。甲方未能在规定时间内提出处理意见，或收到乙方复工要求后４８小时内未予答复，乙方可自行复工。停工责任甲方承担，相应顺延工期，除此而外甲方不承担其它责任；停工责任在乙方，由乙方承担发生的费用，工期不予顺延。2、工期延误：（1）开、竣工日期为2011年5月11日～2011年6月25日，共45日历天，含法定节假日，上述工期包括法定节假日，交叉施工、配合施工的等待时间。乙方承诺的工期为施工合同的工期，若遇地下障碍物、下雨、下雪、停电、停水等不可预见因素均不调整。（2）按照甲方对乙方要求的工期及施工进度计划组织施工，乙方无正当理由拖延其他分包工程的工期时，由乙方承担由此而造成的一切后果。sectionoftheDepartmentofprojectmanagement;Projectdocumentsandinformation:ProjectEngineeringDepartment;Materialsandequipment:materialsupplyprojects;Securitycontrols:theprojectDepartmentofsafetyandsecurity;Constructionmachinery:ProjectEngineeringDepartment;Financial:ProjectManagementDepartmentoffinance;Securityandfireservices:projectsecurity.3.3.5managementrepresentativeandprojectmanagerinthisitemspecifiesthattheChiefEngineeristhemanagementrepresentative,responsiblefortheoperationofqualitymanagementsystemandsupervision,regardlessofhowhisotherresponsibilities,shouldhaveaclearmandateto:ensurethatthequalitymanagementsystemisimplementedandmaintained;Therunningofthequalitymanagementsystemtotheprojectmanager,includingneededimprovements;Alwaysbeawarethatthecustomer"sneedsandrequirements.3.43.4.1projectmanagementreviewshouldbeanannualreviewofitsqualitymanagementsystemtoensureitscontinuingsuitability,adequacyandeffectiveness.3.4.2Administrationreviewbytheprojectmanagerresponsiblefororganizationandimplementation,projectqualitycontrolDepartmentisresponsibleforspecifictasks.3.4.3themanagementreviewshouldcompareandevaluatethefollowinginput:internalandexternalqualityauditsandcorrectiveeffect;Customerfeedbackontheconstruction,installation,commissioning,serviceinformation(complaintsandsatisfaction);Qualityrecords,qualitycompliancewithtrendreports,analysisofresults;Combinedwiththequalitypolicyandtheachievementofthegoals,statusandsuitabilityevaluationofthequalitymanagementsystemtodeterminecorrective,preventiveandimprovementmeasuresofperformance.3.4.4evaluationmethodandprocedure(1)review:bytheprojectmanager,projectmanager,functionaldepartmentsandheadsofspecialized 营口国合汇邦房地产开发有限公司　合同文件（3）双方约定，因停水、停电、非灾害性气候因素造成的工期延误的，工期不得顺延。（4）工程因乙方原因不能按合同约定的工期竣工，乙方应承担违约责任。每逾期一天承担违约金五仟元（直接在工程款支付中扣除，乙方对此无异议），同时乙方的工期延误的赔偿不能免除乙方应完成工程的责任和合同规定的其他责任。（5）若甲方认为乙方的施工进度明显滞后于经甲方批准的进度计划，甲方有权要求乙方赶工。如果甲方认为乙方的施工进度确已无法满足批准的要求时，甲方有权解除合同并停付工程款，并有权邀请第三方进场施工或寻求其他补救措施，乙方应无条件服从并承担由此而发生的所有费用以及相应的违约责任，乙方应在甲方要求时间内撤场，否则甲方有权拒绝结算。四、质量与验收1.工程以甲方确认的施工图纸及甲方交底的做法说明、设计变更和招标文件的技术规范等相关标准验收。前述标准如有不一致的，以标准较高的执行。工程质量应达到相关工程施工质量验收标准，一次性验收合格。2.乙方听从甲方的现场安排，按规范和图纸要求施工，并服从施工监理的要求。达不到约定条件的部分，甲方一经发现，可要求乙方返工，乙方应按甲方要求返工，直到符合约定条件。因乙方原因达不到约定条件，由乙方承担返工费用，工期不予顺延。返工后仍不能达到约定条件，甲方有权委托第三方进行施工修复，所发生费用由乙方承担。3.隐蔽工程和中间验收：工程具备隐蔽条件或达到协议条款约定的中间验收部位，乙方自检合格后，在隐蔽和中间验收４８小时前通知甲方、总承包商、监理参加。通知包括自检记录、隐蔽和中间验收的内容、验收时间和地点。乙方准备验收记录。验收合格，甲方、总承包商、监理在验收记录上签字后，方可进行隐蔽和继续施工。验收不合格，乙方在限定时间内修改后重新验收。4.验收和重新检验：无论甲方、总承包商、监理是否参加验收，当其提出对已经验收的隐蔽工程重新检验的要求时，乙方应按要求进行剥露，并在检验后重新隐蔽或修复后隐蔽。检验合格，甲方承担由此发生的追加合同价款，相应顺延工期。检验不合格，乙方承担发生的费用，工期不顺延。五、材料设备供应：sectionoftheDepartmentofprojectmanagement;Projectdocumentsandinformation:ProjectEngineeringDepartment;Materialsandequipment:materialsupplyprojects;Securitycontrols:theprojectDepartmentofsafetyandsecurity;Constructionmachinery:ProjectEngineeringDepartment;Financial:ProjectManagementDepartmentoffinance;Securityandfireservices:projectsecurity.3.3.5managementrepresentativeandprojectmanagerinthisitemspecifiesthattheChiefEngineeristhemanagementrepresentative,responsiblefortheoperationofqualitymanagementsystemandsupervision,regardlessofhowhisotherresponsibilities,shouldhaveaclearmandateto:ensurethatthequalitymanagementsystemisimplementedandmaintained;Therunningofthequalitymanagementsystemtotheprojectmanager,includingneededimprovements;Alwaysbeawarethatthecustomer"sneedsandrequirements.3.43.4.1projectmanagementreviewshouldbeanannualreviewofitsqualitymanagementsystemtoensureitscontinuingsuitability,adequacyandeffectiveness.3.4.2Administrationreviewbytheprojectmanagerresponsiblefororganizationandimplementation,projectqualitycontrolDepartmentisresponsibleforspecifictasks.3.4.3themanagementreviewshouldcompareandevaluatethefollowinginput:internalandexternalqualityauditsandcorrectiveeffect;Customerfeedbackontheconstruction,installation,commissioning,serviceinformation(complaintsandsatisfaction);Qualityrecords,qualitycompliancewithtrendreports,analysisofresults;Combinedwiththequalitypolicyandtheachievementofthegoals,statusandsuitabilityevaluationofthequalitymanagementsystemtodeterminecorrective,preventiveandimprovementmeasuresofperformance.3.4.4evaluationmethodandprocedure(1)review:bytheprojectmanager,projectmanager,functionaldepartmentsandheadsofspecialized 营口国合汇邦房地产开发有限公司　合同文件1．乙方向甲方承诺按照合同约定进行施工、竣工并在质量保修期内对全部施工内容承担工程质量保修责任。乙方按国家有关规定和本合同的约定对保修项目、内容、范围、期限及保修金额和支付办法，进行保修并支付（或在应付工程款内预留）保修金。2．保修期内，乙方应在接到修理通知当天派人修理，并在到场后按甲方指定的期限及时将缺陷修复完毕并经甲方验收合格。如乙方未按甲方指定的期限及时将缺陷修复完毕或连续两次仍不能达到甲方满意，甲方可另行委托其他单位或人员修理。因乙方原因造成返修的费用，甲方有权直接在应付乙方工程款和保修金内扣除，不足部分，由乙方向甲方交付。3.乙方保修负责人姓名：4．其他与保修有关的内容，详见合同附件三----建设工程质量保修协议。九、违约、索赔和争议1、在合同执行中，如发生纠纷，甲方、乙方双方应友好的协商解决，协商不成时，应向建设工程项目所在地的人民法院提起诉讼。2、由于战争、自然灾害、国家政策的调整等不可抗拒的因素，致使合同无法履行，经甲方、乙方双方同意本合同可以提前终止或解除。3、在乙方完全履行本合同约定义务的情形下，甲方未按合同约定的时间支付工程款的，乙方给以甲方10个工作日的宽限期，超过10个工作日的，从第11个工作日起，每逾期一日，按应付未付款金额的中国人民银行公布的同期贷款基准利率承担逾期付款利息，除此而外，甲方不承担其他责任，工期不予顺延。4.由于乙方原因导致工程逾期开工或逾期竣工或逾期履行其他任何一项义务的，工期每延误一天，扣违约金五仟元（直接在工程款支付中扣除，乙方对此无异议）。任何一项逾期达30天以上的（含30天），甲方有权单方面解除合同，并有权按照本合同约定综合单价的[50]%标准结算。5.因乙方施工的工程质量达不到约定的质量标准，乙方应当根据甲方或监理方的指令或要求进行修理、拆除、返工，直到符合约定标准及甲方要求。乙方除负责返工和维修外,还应承担发生的相应费用,并支付甲方合同总价款10%的违约赔偿金。由于修复、返工造成逾期竣工的，乙方还应承担逾期违约责任。但如乙方违反国家强制性规定，或乙方未按指令或要求整改逾期达3日仍未符合约定标准，或同一部位经2次指令仍未符合约定标准的，甲方有权解除本合同。6.如果甲方发现乙方选用的材料、sectionoftheDepartmentofprojectmanagement;Projectdocumentsandinformation:ProjectEngineeringDepartment;Materialsandequipment:materialsupplyprojects;Securitycontrols:theprojectDepartmentofsafetyandsecurity;Constructionmachinery:ProjectEngineeringDepartment;Financial:ProjectManagementDepartmentoffinance;Securityandfireservices:projectsecurity.3.3.5managementrepresentativeandprojectmanagerinthisitemspecifiesthattheChiefEngineeristhemanagementrepresentative,responsiblefortheoperationofqualitymanagementsystemandsupervision,regardlessofhowhisotherresponsibilities,shouldhaveaclearmandateto:ensurethatthequalitymanagementsystemisimplementedandmaintained;Therunningofthequalitymanagementsystemtotheprojectmanager,includingneededimprovements;Alwaysbeawarethatthecustomer"sneedsandrequirements.3.43.4.1projectmanagementreviewshouldbeanannualreviewofitsqualitymanagementsystemtoensureitscontinuingsuitability,adequacyandeffectiveness.3.4.2Administrationreviewbytheprojectmanagerresponsiblefororganizationandimplementation,projectqualitycontrolDepartmentisresponsibleforspecifictasks.3.4.3themanagementreviewshouldcompareandevaluatethefollowinginput:internalandexternalqualityauditsandcorrectiveeffect;Customerfeedbackontheconstruction,installation,commissioning,serviceinformation(complaintsandsatisfaction);Qualityrecords,qualitycompliancewithtrendreports,analysisofresults;Combinedwiththequalitypolicyandtheachievementofthegoals,statusandsuitabilityevaluationofthequalitymanagementsystemtodeterminecorrective,preventiveandimprovementmeasuresofperformance.3.4.4evaluationmethodandprocedure(1)review:bytheprojectmanager,projectmanager,functionaldepartmentsandheadsofspecialized 营口国合汇邦房地产开发有限公司　合同文件设备（品牌、生产厂家、原产地、规格）和施工工艺等任何一项与合同或施工图、技术规范中规定的内容不符而导致的工程质量问题，无论工程是否已验收合格、交付使用以及是否超过保修期，均自甲方通知之日起两年内享有对乙方的索赔追偿权利。7.在不影响甲方取得工期延误赔偿金和赔偿权利的条件下，在遇到下列情况下，甲方有权解除合同：（1）乙方延期开工，或施工进度缓慢，虽给与书面提醒，甲方仍认为乙方不可能按期完成合同工程。（2）如果乙方停工7天以上，停工理由不被甲方接受。（3）如果乙方撤离工程，或放弃工程，或证明乙方没有施工。（4）乙方被证实其施工混乱，甲方认为其会对甲方的声誉造成不良影响的。（5）如果乙方没有按合同规定的期限施工，甲方认为没有必要给其一个宽限期，或者在给定宽限期内未能完成工程施工。（6）《中华人民共和国合同法》规定的其他法定事由和本合同约定的其它解除事由。（7）终止合同时，甲方以书面形式通知乙方即可，无需采取其他措施。8、本工程严禁转包，且未经甲方同意严禁擅自任何合营、联营的方式进行转包、分包。一经发现，甲方有权终止合同。9、由乙方引起的甲方的一切损失，由乙方自行承担全部责任和赔偿。10.工程质量未解决之前，甲方有权拒绝向乙方支付任何款项。11.因甲方原因合同解除的，甲方只赔偿造成的直接损失，不赔偿预期可得利益。12.除本合同另有约定外，凡因乙方原因导致合同解除的，乙方应按照本合同总价款[20]%向甲方支付违约金，如果该违约金不足以弥补因乙方违约造成甲方的损失，乙方应继续赔偿。损失包括但不限于甲方应付给第三方的违约金、赔偿金等、甲方为完成剩余工作委托其他施工企业继续施工而需比原合同价格多发生的工程费用等。十、合同履约担保乙方可选择如下一种方式提交合同履约担保：1.（保函方式）乙方在收到中标通知书14sectionoftheDepartmentofprojectmanagement;Projectdocumentsandinformation:ProjectEngineeringDepartment;Materialsandequipment:materialsupplyprojects;Securitycontrols:theprojectDepartmentofsafetyandsecurity;Constructionmachinery:ProjectEngineeringDepartment;Financial:ProjectManagementDepartmentoffinance;Securityandfireservices:projectsecurity.3.3.5managementrepresentativeandprojectmanagerinthisitemspecifiesthattheChiefEngineeristhemanagementrepresentative,responsiblefortheoperationofqualitymanagementsystemandsupervision,regardlessofhowhisotherresponsibilities,shouldhaveaclearmandateto:ensurethatthequalitymanagementsystemisimplementedandmaintained;Therunningofthequalitymanagementsystemtotheprojectmanager,includingneededimprovements;Alwaysbeawarethatthecustomer"sneedsandrequirements.3.43.4.1projectmanagementreviewshouldbeanannualreviewofitsqualitymanagementsystemtoensureitscontinuingsuitability,adequacyandeffectiveness.3.4.2Administrationreviewbytheprojectmanagerresponsiblefororganizationandimplementation,projectqualitycontrolDepartmentisresponsibleforspecifictasks.3.4.3themanagementreviewshouldcompareandevaluatethefollowinginput:internalandexternalqualityauditsandcorrectiveeffect;Customerfeedbackontheconstruction,installation,commissioning,serviceinformation(complaintsandsatisfaction);Qualityrecords,qualitycompliancewithtrendreports,analysisofresults;Combinedwiththequalitypolicyandtheachievementofthegoals,statusandsuitabilityevaluationofthequalitymanagementsystemtodeterminecorrective,preventiveandimprovementmeasuresofperformance.3.4.4evaluationmethodandprocedure(1)review:bytheprojectmanager,projectmanager,functionaldepartmentsandheadsofspecialized
